  • A bookkeeping specific engagement letter template to cover situations where you outsource accounting and tax work on behalf of your client.
  • A bookkeeping specific service schedule to cover outsourced accounting and tax services, and accompany the above template.

The privacy notice has been updated to eliminate a small amount of duplication. There’s no need to re issue to your existing clients. The following paragraph was removed as it is covered elsewhere:

Your information may from time to time be transferred and/or processed outside the EEA. This will only be done where [I/we] have confirmed that the country to which your data has been transferred provides a level of personal data protection comparable to that provided in European law.

  • A bookkeeping only letter of engagement.

This scope is called ‘Bookkeepers Only – Any Entity’ and can be used if you are a bookkeeper providing solely bookkeeping services to any client type. This is how you add it to your suite of Engagement Letters.

  • Seed Enterprise Investment Scheme (SEIS) and Enterprise Investment Scheme (EIS) Service Schedules.

  • The individual tax return service schedule has been updated to provide added protection when it comes to providing advice.

The advice that we give can only be as good as the information on which it is based. In so far as that information is provided by you, or by third parties with your permission, your responsibility arises as soon as possible if any circumstances or facts alter, as any alteration may have a significant impact on the advice given. If the circumstances change therefore or your needs alter, advise us of the alteration as soon as possible in writing.

  • The Annual Accounts & Sole Trader Tax Return service schedule has been updated to include the individuals right to cancel the tax return.

  • A new service schedule for Loyalty Bonus has been added to your library of OverSuite schedules.

Updated


  • The terms and conditions have been updated to enable you to charge interest on all late payments, including individuals.

[I/We] reserve the right to charge interest on all late payments.  Where applicable this will be charged under the Late Payment of Commercial Debts (Interest) Act 1998.

  • The solicitors accountants report has been expanded to clarify responsibilities and rules for added protection.

  • A recent supreme high court junction has highlighted the importance of being clear and specific about the purpose of the advice you provide your clients. The general advice section in your Terms and Conditions has been updated to give you an extra layer of protection where you provide ad hoc advice. This section now includes the following statement:

Any advice can only be used for the purpose for which it is given.

  • Where you are engaging a client to provide them with more specific pieces of advice, for example Tax Advisory, we recommend drafting your own schedule using the blank templates available in OverSuite.

v2.01 (22.03.21)

  • CIMA, CIPFA, AAT, IFA, ATT and the CIOT have made changes to the way complaints and alternative dispute resolutions should be communicated to clients. This has been reflected in the Complaints Section of your Terms & Conditions.
  • CIMA have made it possible for you to now hold client monies. If you do, then this will have been automatically reflected in your terms and conditions.
  • VAT Return Service Schedules have now been updated to account for post-brexit provisions.
  • All audit related Scopes have been updated to clarify the members/auditors responsibilities in respect of fraud and irregularities, to offer you greater protection.
  • We have made some changes to the extent of the audit within the Annual Accounts (Audit) service schedule, to better reflect recent changes.
  • The Individual Tax Return schedule has been updated to incorporate a 30 Day CGT Return.
  • The terms and conditions now offer additional clarification as to what will happen if information is provided later than the agreed dates for the work, in that fees may be incurred.
  • The Software and Subscriptions schedule has been updated to clarify that you are not liable for any issues with third party software.

  • CIC Engagement Letters Available – Those of you subscribed to the Not for Profit pack in OverSuite should now see Community Interest Company Audit and Non Audit templates in your Scope Library.
  • Launch of Liability Caps – In order to protect yourself, your clients and your firm against unnecessary risk, you need to limit your liability. One way to do that is to set a reasonable LIABILITY CAP for your client engagements. But getting this right is a minefield.
    So to help you to navigate this minefield and overcome this problem, we have developed the Liability Caps feature for OverSuite™ subscribers.

  • Professional Indemnity Insurance Limits – We sent an email out earlier this week about making sure you go back to the wizard to include your Professional Indemnity Insurance Limit. This is going to lay the groundwork for a huge piece of work we’ve been doing this week around limitation of liability which we will announce next week. If you can’t find your limit when filling out the wizard, please let the support team know via chat or support@goproposal.com.
  • Can we include something for hourly based billing in the terms? The terms and conditions have been updated to account for both situations.

Your OverSuite Launch Questions


What counts as referring clients for investment services “via third parties”? If I refer my clients to a financial advisor, someone who isn’t linked to me is that included? Great question that required a very involved answer, which you can watch here  >>

In the annual accounts service schedule for all entities, it references shareholders which mean it  can only be used for companies. This has been changed to shareholders/owners’.

Does OverSuite work in Ireland? Not quite yet, but we will keep you posted with any updates. 

The Annual Accounts (Non-Audit) & Company Tax Return appears to be very much geared towards limited companies. Can we have a combined service schedule that’s specific for partnerships/LLPs/sole trader accounts prep schedules, and tax schedules? We’re developing these for you and they will be available next week.

We work with lots of married couples. Can we have a separate spousal engagement letter? You don’t need a separate letter, because ANY letter could potentially become one, IF we added a bit of  magic like this. Watch the video in the community >>

Your OverSuite Launch Questions


Is it possible to have a couples engagement letter where we could liaise with one of them on their tax affairs? Great question and yes. It requires one line adding to the privacy notice which they sign. Just working on how we add that.

Which service schedule should we use for sole trader or partnership accounts because Annual Accounts (Non-Audit) refers to “company”? This has now been amended to say “entity” so it can be used for sole traders or partnerships.

In the “Annual Accounts (Non-Audit) & Company Tax Return” service schedule it states in “your responsibilities” that you must provide us with accounts. In virtually every case we (and most other accountants of our size) will be preparing accounts for our clients so I wonder if this could be re-worded? The clause that refers to this responsibility has been removed.

Can the ICAEW logo be changed to the Member Firm one? Done

Why does the Scope for Limited Company (Non-Audit) say that the scope includes Statutory Accounts as default? It should, but we’ve created a new Scope called Any Entity (No Annual Accounts) for when it shouldn’t.

In the Software and Subscriptions Service Schedule it says “We will provide technical support to enable use of the software”, but we don’t want to give unlimited support for free. Good point. So it now reads “We will provide technical support to enable use of the software for an additional fee, if agreed.”

Where would we add the data processing agreement for payroll? You should create a  section, just for payroll. Then assign the Data Processor Agreement for Payroll Service Schedule to the overall section.

Can we have a service schedule for Coronavirus Job Retention Scheme (furlough) claims? Done.

I need to add a disclaimer to my emails, but I can’t add it to the footer since this would also appear in the engagement letters and proposals. You can add the disclaimer to the actual email content that is configured in your proposal template and for your engagement letter. 

Can we have a service schedule for ad hoc tax services? Done.

Will there be a Smart Service Schedule available for Cloud Software Initial Set-up and training? Done.
